Hi there, we’re Doctor Medicho and these are our Terms of Service and Privacy and Policy (http://www.doctormedicho.com/terms). These Terms of Service and the Privacy and Policy together constitute a legal agreement (“Agreement”) between you (Public / User / Patient)  and us (Doctor Medicho). So please read them carefully before using or accessing the Doctor Medicho Website and Mobile Application Platform and its functionalities. Feel free to contact us if you have any questions or feedback about these Terms of Service and Privacy.

WE ARE A PLATFORM PROVIDER. WE DO NOT PROVIDE ANY ACTUAL MEDICAL OR OTHER HEALTH SERVICES. NOTHING STATED OR POSTED ON THE PLATFORM BY US IS INTENDED TO BE, AND MUST NOT BE TAKEN TO BE, THE PRACTICE OF MEDICINE, DENTISTRY, NURSING OR OTHER HEALTHCARE PROFESSIONAL SERVICES OR THE PROVISION OF MEDICAL CARE.

1. Background

1.1 Doctor Medicho is a product of Arabian Feamish International LLC (We, Our or Us) provides the Doctor Medicho online platform that enables Publics / Users / Patient to book medical appointments and use other related functionalities in the Platform.

1.2 In these Terms, a reference to You or Your is a reference to a Publics / Users / Patients of the Platform. Other capitalised words are defined at the end of these Terms.

1.3 The Agreement applies to you whether you are A patient, his/her representatives or affiliates, searching for Practitioners through the Website (“End-User”, “you” or “User”); or Otherwise a user of the Website (“you” or “User”)

1.4 These Terms set out the basis on which We permit You to access the Platform. By accessing and using the Platform, You agree to be bound by these Terms and Our Privacy Policy located at http://www.doctormedicho.com/privacy, as amended from time to time.

1.5 We may amend these Terms at any time by publishing the amended version on Our website. Any such amended version will apply to Your use of the Platform from the date of its publication.

2. Your Access To The Platform

2.1 We grant You access to the Platform on the basis that You:

(a) Will comply with these Terms at all times; and

(b) Will comply with any reasonable request by Us in relation to Your use and access of the Platform.

2.2 By accepting these Terms, we grant You a limited, non-exclusive and revocable licence to access and use the Platform. We may issue this licence to You on any further terms or limitations as determined by Us.

3. Account Registration

3.1 In order to access the Platform full features, You must register an Account. We may set registration requirements in Our discretion, including those contained in clause 3.2.

3.2 You agree and accept that:

(a) As a Patient / User, You must verify Your identity by supplying at least four forms of unique identification in order to use the Platform. Your Name, Mobile Number, Email Address and Your date of birth. If You do not provide Us with this information, We are unable to provide You registration with this Platform;

(b) You are responsible for correctly setting up Your Account, and for any information that You (or any third party authorised by You) enter into the Platform;

(c) You are not permitted to access or Use the Platform if You are under the age of 18;

(d) In order to protect Your Personal Information and Health Information, We may restrict access to Your Account until Your identity can be verified by your personal email or phone number.

4. Acceptable Use and Your Obligations

4.1 In accessing or using the Platform, You must ensure that You do not:

(a) Breach any laws, or encourage or assist the commission of any illegal act;

(b) Infringe any person’s rights, including intellectual property and proprietary rights, rights of confidentiality or contractual rights;

(c) Include any material that contains any virus or harmful code, or program that is designed to impair the performance of the Platform or any device accessing the Platform;

(d) Impersonate any other person;

(e) Negatively impact any other Patient User’s ability to access and use the Platform;

(f) Publish or link to malicious content;

(g) Vexatiously or frivolously use the Platform;

(h) Make a Booking via the Platform, and fail to take all reasonable steps to either attend that Booking or provide reasonable notice of any cancellation; or

(i) Engage in conduct that is unlawful, defamatory, obscene, threatening, harassing, abusive, slanderous, hateful or embarrassing to any other person, or which is reasonably likely to damage Our reputation or Our services; or

(j) Record or otherwise share the medical advice provided to you within a telehealth booking facilitated by the Platform.

5. Availability Of The Platform

5.1 While we take all reasonable steps to limit any interruptions to Your access to the Platform, You acknowledge and agree that:

(a) Your access to the Platform may be prevented by issues outside of Our control;

(b) We do not promise continuous or error-free access to the Platform, including as to any third party services facilitated by the Platform such as teleconsultations;

(c) The functionality of the Platform may change or be improved from time to time; and

(d) You are able to prepare for, or manage, unscheduled unavailability of the Platform by:

(i) Keeping Your mobile app up to date, which will store local copies of the data stored within the Platform;

(ii) Printing hard copies of the information stored within the Platform; or

(iii) Contacting Your Practitioner directly.

6. Third Party Services and Information

6.1 You acknowledge and agree that:

(a) The Platform is dependent on third-party services;

(b) Website and Mobile Application Hosting services;

(c) Payment Gateway (Banks, credit card providers and Payment);

(d) Sms Gateway for OTP, Notifications

(e) Email services; and

(f) Analytics services; and

(g) Mobile Application and website services to enable teleconsultations; and

(h) Location management

(i) The Platform provides links to third party websites which may contain (without limitation) clinical guidance or information.

(j) We are not responsible or liable in any way for any information contained on any linked third party website, including medical or clinical information; and

6.2 We provide and operate the Platform only, and are not responsible for, or liable with respect to, the accuracy or completeness of any information or data which is provided or communicated to You via the Platform by Your Medical Practice or Practitioner, or any other user of the Platform.

6.3 You agree that We are not responsible or liable in any way for:

(a) interruptions to the availability of the Platform due to third-party services; or

(b) information contained on any linked third party website.

7. Data

7.1 We take the security of the Platform and the privacy of Patient Users very seriously. You agree that:

(a) You will not do anything to prejudice the security or privacy of Our systems or of the information on Our systems;

(b) You are solely responsible for the security of Your login details for accessing the Platform; and

(c) You will notify Us immediately if You become aware of any unauthorised access to the Platform.

7.2 We will do all things reasonable to ensure that the transmission of data occurs according to accepted industry standards, however You accept that the internet is not a fully secure environment and We cannot accept responsibility for misuse or loss of, or unauthorised access to or disclosure of, information where the security of the information is not within our control. If You provide Us with information via the internet, You do so accepting this risk.

7.3 We may limit the amount of data that You can store in the Platform. Data that is stored within the Platform will be stored according to accepted industry standards.

7.4 We will perform backups of the Platform in a reasonable manner at such times and intervals as are reasonable for Our business purposes. We do not warrant that We are able to backup or recover specific Patient User content from any period of time.

7.5 You acknowledge and agree that:

(a) We are not responsible in any way for retaining any data, Personal Information or Health Information that has been stored on, or communicated through, the Platform for a prescribed period.

8. Privacy

8.1 By using the Platform, You acknowledge and agree that:

(a) We will collect any Personal Information (including any Health Information) You provide to Us or Your Medical Practice or Practitioner via the Platform, and We will manage and deal with this Personal Information in accordance with Our Privacy Policy;

(b) We may share Your Personal Information or Health Information with any Medical Practice or Practitioner, or with whom You request a Booking, or otherwise communicate, with via the Platform;

(c) The Medical Practice You request a Booking with, or otherwise communicate to, via the Platform may have its own policy governing access to this information. Our Privacy Policy does not govern, and we make no representations in relation to, how Your Medical Practice or Practitioner handles Your Personal Information, and You should direct any such enquiries to them directly;

(d) Any consent given by You through the Platform is valid and binding unless and until revoked by You, and a Medical Practice or Practitioner may rely on a consent given through the Platform without any need to further verify that consent;

(e) We may send You emails, text messages, push notifications and other alerts on behalf of Us or Your Medical Practices and their Practitioners, for purposes such as confirming your Booking, providing clinical or appointment reminders, advertising, facilitating patient surveys and providing You with Your password to access the Platform; and

(f) We may also collect browsing information about You from Your use of Our website, which uses cookies (a small tracking code in Your browser) to improve Your experience while browsing. You may manage how You handle cookies in Your browser settings.

(g) We may access and collect your geo-location during the use of Our Mobile Check In feature. This permission is requested from you when you access the feature and information is only collected during the check-in process. Any geo-location data collected will only be used for the purpose of delivering the service.

8.2 If, at any time, You provide or upload Personal Information or other information about someone other than Yourself to the Platform, You warrant that You have that person’s consent to You providing such information (including their Personal Information) to Us for the purpose specified.

8.3 If You provide anyone else access to the Platform (including providing anyone else with Your login details to the Platform), then You consent to that person accessing the Platform on Your behalf, including accessing Your Personal Information.

8.4 If You suspect any misuse or loss of, or unauthorised access to or disclosure of, Personal Information in connection with the Platform, You must let us know immediately.

9. Suspension or Termination Of Access

9.1 We may, in Our sole discretion:

(a) revoke, suspend or end Your licence and access to use the Platform; and

(b) cancel or otherwise terminate Your Account with immediate effect.

9.2 We will ordinarily advise a User of any suspension, revocation or termination, however We are under no obligation to do so.

9.3 If Your Account is cancelled or We otherwise permanently end Your access to the Platform, information We have collected about You may be either:

(a) permanently deleted or de-identified; or

(b) retained in accordance with any applicable regulatory requirements.

9.4 Termination or expiration of Your licence or access to use the Platform will not affect any accrued rights, indemnities, or any other provision of these Terms which are intended by their nature to survive termination or expiration.

10. Intellectual Property

10.1 We (or Our licensors) retain ownership of all intellectual property rights in and to the Platform, including messages and content We make available to You.

10.2 Nothing in these Terms transfers any intellectual property or proprietary rights in the Platform. You must not:

(a) Copy, upload, transmit, reproduce, distribute or in any way exploit or commercialise any services, content, technology or intellectual property rights obtained through Your use of the Platform;

(b) Reverse engineer, decompile, modify, translate, use for competitive analysis, create derivative works from, disassemble, disable or tamper with any part of the software forming part of the Platform; or

(c) Rent, lease, lend, resell or sub-licence Your rights to use and access the Platform.

11. Liability and Indemnity

11.1 To the extent permitted by law, You acknowledge and agree that:

(a) Your use of the Platform is at Your own risk;

(b) You are solely responsible for Your use of the Platform and for the accuracy and suitability of any information or data that You upload to, or obtain from, the Platform, including any third party services facilitated by the Platform;

(c) We make no representation or warranty that an appointment time is actually available or that a Medical Practice will confirm a Booking request. It is Your responsibility to contact the Medical Practice if the Medical Practice experiences any issues with Your Booking request, Booking, Reminder or Recall made via the Platform, including any delay;

(d) The Platform is not designed for, and must not be relied upon in relation to, any critical, emergency or acute care medical circumstances.

(e) The Platform does not provide medical advice, nor does it hold itself out to provide medical advice;

(f) We provide and operate the Platform only, and are not responsible or liable for the conduct or activities of other third parties, including any third party service provider, Medical Practice or Practitioner; and

11.2 Under no circumstance will We be liable for:

(i) Any illness, injury, or death resulting from use of the Platform; or

(ii) Any other any direct or indirect, incidental or consequential damages, loss or corruption of data, or any other similar or analogous loss resulting from Your access to, use of, or inability to use the Platform or any content, whether based on warranty, contract, tort, negligence, in equity or any other course of action, and whether or not We knew or should have known of the possibility of such loss.

11.3 You agree to indemnify Us for any loss, damage or claim (including the loss or corruption of data, goodwill, bargain, opportunity or of anticipated savings) that We may suffer or incur as a result of any breach by You of these Terms.

11.4 Certain rights and remedies may be available under the Competition and Consumer Act or similar legislation of other Nationality, States or Territories, and may not be permitted to be excluded, restricted or modified. Apart from those that cannot be excluded, We together with Our related entities exclude all conditions and warranties that may be implied by law.

12. General

12.1 You acknowledge that You have not relied on any representation, warranty or statement made by Us, other than as set out in these Terms or Our Privacy Policy.

12.2 No clause of these Terms will be deemed waived and no breach excused unless such waiver or consent is provided in writing.

12.3 Any clause which is invalid or unenforceable is ineffective to the extent of the invalidity or unenforceability without affecting the remaining clauses of these Terms.

12.4 You may not assign or otherwise create an interest in Your agreement with Us without Our prior written consent. We may assign or otherwise create an interest in Our agreement with You under these Terms by written notice to You.

13. Book Online Appointment

13.1 The website allows Users to use the facilities of Online Booking and Appointments

(a) The Website Booking facility allows Users to book an online appointment with Hospital, Doctors, Pharmacy for Doctor Consultation, Medical & Health Checkups, Offers Booking, Medicine Booking.

 (b) Online Chat enquiry facility allows Users to directly connect with Organization and Doctors for any enquiries

13.2  Users should use the online booking facility for confirmed appointments only. However, We have no liability if such an appointment is later cancelled by the Organization or Practitioner, or the same Practitioner is not available for the day of appointment.

13.3  You acknowledge and agree that Doctor Medicho will not be liable for:

(a) If you decide to engage with a Practitioner to seek medical services, or if you decide to engage with any organization for medical checkups, treatment, medicine or related services available through this portal, the all activities you are doing are at Your own risk.

(b) We are not responsible for Your any interactions and associated issues with the Organizations and Practitioner.

(c) Any wrong medication or quality of treatment being given by the Organization or Practitioner.

(d) Inappropriate treatment, or similar difficulties or any type of inconvenience suffered by the User due to a failure on the part of the Organization or Practitioner to provide agreed Services.

(e) Any misconduct or inappropriate behaviour by the Organization, Practitioner or the Organization's Staff or Practitioner’s staff.

14. Online Consultation

14.1 The website allows Users to use the facilities of online consultation with practitioners.

(a) Online Consultation facility that allows Users to Online consult with doctors by Chat, Audio and Video through the Website.

(b) Users should use the online consultation facility for confirmed consultation only.

(c) For online consultation user needs to do online payment through this website payment gateway.

14.2  You acknowledge and agree that Doctor Medicho will not be liable for:

(a) If you decide to engage with a Practitioner to seek medical services, or if you decide to engage with any organization for medical checkups, treatment, medicine or related services available through this portal, the all activities you are doing are at Your own risk.

(b) We are not responsible for Your any interactions and associated issues with the Organizations and Practitioner.

(c) Any wrong medication or quality of treatment being given by the Organization or Practitioner.

(d) Inappropriate treatment, or similar difficulties or any type of inconvenience suffered by the User due to a failure on the part of the Organization or Practitioner to provide agreed Services.

(e) Any misconduct or inappropriate behaviour by the Organization, Practitioner or the Organization's Staff or Practitioner’s staff.

15. Online Payment Facility

15.1 By using the Platform, You acknowledge and agree that;

15.2 Online Payment Facility Not available for;

(a) The Platform not integrating any online payment facility for any online appointment, booking health checkups and other services.

(b) You can do the appointment and booking payment directly to the concerned department of Organization or Practitioner, before your final meeting with the Practitioner or Health checkups or other services.

(c) You can show the online booking confirmation details at the concerned department of Organization or Practitioners for getting your same time for consulting with practitioner or getting other services as per your booking.

(d) We are not responsible for Your any payment problems with any Organisation or Practitioner

15.3 Online Payment Facility Available for;

(a) The Platform integrating online payment facility only for online consultation with practitioners by Call, Chat and Video.

(b) With this platform, User can search and find practitioners for Online consultation.

(b) Users can book appointments with practitioners by completing online payment.

16. Cancellation and Refund Policy

16.1By using the Platform, You acknowledge and agree that;

(a) In the event that, the Practitioner with whom User has booked a paid appointment via the Website for online consultation, has not been able to meet the User, User will need to write to us at support@doctormedicho.com within five (5) days from the occurrence of such event; in which case, the entire consultation amount as mentioned on the Website will be refunded to the User within the next ten (10) to fifteen (15) business days in the mode of bank transfer from Doctor Medicho account to User Account. Users need to mention user bank account details also with the email.

(b) In case where the User does not show up for the appointment booked with a Practitioner, without cancelling the appointment beforehand, the amount will not be refunded. However, where cancellation charges have been levied (as charged by the Practitioner/Practice), you would not be entitled to complete refund even if you have cancelled beforehand.

(c) Users will not be entitled for any refunds in cases where the Practitioner is unable to meet the User at the exact time of the scheduled appointment time and the User is required to wait.

(d) If any case the practitioner couldn't consult with the user on the scheduled time, the practitioner can rearrange the consulting time and the user needs to approve and wait for that time for completing the consultation.

17. Interpretation

17.1 The following terms are used regularly throughout these Terms and have a particular meaning:

(a) Account means a registered Patient / User’s account on the Platform.

(b) Booking means an appointment with a Practitioner / Medical Practice / Pharmacy that is made using the Platform.

(c) Health Information has the same meaning as in the Privacy Act.

(d) Medical Practice means a medical practice, healthcare practice, Organization, Pharmacy or other organised or incorporated body that provides healthcare services by appointment with medical practitioners or other health professionals, and includes a Practitioner or other staff members where implied by context.

(e) Hospital, Clinic or other organizations means Medical Practice.

(f) Patient / User means a person who accesses or uses the Platform as a patient or consumer of health services, such as to request a Booking or supply information to a Medical Practice.

(g) Personal Information has the meaning given to that term by the Privacy Act.

 (h) Practitioner means a medical practitioner, health professional, Doctors or other individual with whom appointments may be made and managed via the Platform.

(i) Medical Checkups means a through physical examination, includes a variety of tests depending on the age and sex and health of the person.

 (j) Pharmacy means a shop / hospital or clinic dispensary where medicinal drugs are prepared or sold.

 (k) Product means the list of pharmaceutical products.

(l) Classifieds means list of advertising from A to Z industry.

(m) Privacy Act means the Privacy Act.

(n) Notification means a clinical / doctor / pharmacy reminder sent to a Patient / User via the Notification and also Doctor Medicho Admin sent advertising to a Patient / User via the Notification.

(o) Reminder means an upcoming appointment reminder sent to a Patient / User via the Reminder Module.

(p) Terms means these Terms of Service.

17.2 The following rules apply unless the context requires otherwise:

(a) Headings and explanations are for convenience only and do not affect interpretation;

(b) The singular includes the plural and the opposite also applies;

(c) If a word or phrase is defined, any other grammatical form of that word or phrase has a corresponding meaning;

(d) A reference to a clause or item refers to clauses and items in these Terms including the Schedules;

(e) A reference to legislation is to that legislation as amended, re-enacted or replaced, and includes any subordinate legislation issued under it;

(f) Mentioning anything after includes, including, or similar expressions, does not limit anything else that might be included;

(g) A reference to a party to these Terms or another agreement or document includes that party’s successors and permitted substitutes and assigns (and, where applicable, the party’s legal personal representatives); and

(h) A reference to a person, corporation, trust, partnership, unincorporated body or other entity includes any of them.

1.2 In these Terms, a reference to You or Your is a reference to a Organization / Hospital / Clinic / Medical Centre / Pharmacy / Doctors of the platform. Other capitalised words are defined at the end of these Terms.

1.3  These Terms set out the basis on which We permit You to access the Platform. By accessing and using the Platform, You agree to be bound by these Terms and Our Privacy Policy located at http://www.doctormedicho.com/privacy, as amended from time to time.

1.4 The Agreement applies to you whether you are A medical practitioner or health care provider (whether an individual professional or an organization) or similar institution wishing to be listed, or already listed, on the Website, including designated, authorized associates of such practitioners or institutions (“Practitioner(s)”, “you” or “User”).

 

1.5 We may amend these Terms at any time by publishing the amended version on Our website. Any such amended version will apply to Your use of the Platform from the date of its publication.

2. Your Access To The Platform

2.1 Subject to these Terms, We grant You a limited, non-exclusive and revocable licence to access and use the Platform during the Subscription Period, on the basis that you:

(a) Will comply with these Terms Agreement at all times; and

(b) Will comply with any reasonable request by Us in relation to Your use and access of the Platform.

2.2 While we take all reasonable steps to limit any interruptions to Your access to the Platform, You acknowledge and agree that:

(a) We may modify, upgrade, update, enhance or alter the Platform from time to time, however if We reasonably anticipate that such change is likely to detrimentally affect Your or the Patient Users’ use, or reduce the functionality, of the Platform, then We will in good faith consult with You before implementing the change; and

(b) We cannot, and do not, promise continuous or error-free access to the Platform or any linked site, or third party services or materials facilitated by the Platform. However, We will use our reasonable endeavours to minimise the occurrence and duration of any outages, downtime (for planned maintenance or otherwise) or other causes of inaccessibility to the Platform.

3. Account Registration

3.1 You acknowledge that In order to access the Platform features, You must register an Account. We may set registration requirements in Our discretion, including those contained in clause 3.2.

3.3 Any person who registers an Account in the Platform warrants that they are an authorise representative of the Organization / Hospital / Clinic / Medical Centre / Pharmacy / Doctors.

4. Acceptable Use and Your Obligations

4.1 You must only use the Platform for its intended purpose, as described in these Terms.

4.2 In accessing or using the Platform, You must:

(a) Comply with Our directions and restrictions regarding access to and use of the Platform, including, where applicable, any instructions to remove any information or data from the Platform;

(b) Ensure that all information provided or uploaded to Us or the Platform, or any third party services facilitated by the Platform, including any data or information about Patients, is and remains true and correct;

(c) Ensure that You have obtained all relevant licences, permissions, authorisations, consents and approvals, and complied with all relevant laws, in order to access and use the Platform;

(d) Ensure that You comply with any relevant statutes, regulations, laws and codes of practice when using the Platform, such as (but not limited to) when You:

(i) Send Recalls, Results, Reminders or other communications to Patients under 18 years of age; and

(ii) Process and respond to a Repeats request which is received from a Patient User via the Platform;

(e) Not use or rely upon the Platform in relation to, any critical, emergency or acute care medical circumstances;

(f) Not permit any unauthorised person to access or use the Platform;

(g) Immediately cease any use of the Platform that, in Our reasonable opinion, does not constitute acceptable use and has been detailed in a notice from Us to You;

(h) If You become aware of any actual or potential misuse of the Platform by Clinic Users, Patient Users, or any other third parties, notify Us in writing as soon as reasonably possible;

(i) Use the Platform for lawful purposes only, and not rent, lease, convey, adapt, translate, reverse engineer, de-compile or disassemble all or any part of the Platform;

(j) Not infringe any person’s rights, including intellectual property and proprietary rights, rights of confidentiality or contractual rights;

(k) Not include any material that contains any virus or harmful code, or program that is designed to impair the performance of the Platform or any device accessing the Platform; and

(l) Not publish or link to any malicious content, or engage in conduct that is unlawful, defamatory, obscene, threatening, harassing, abusive, slanderous, hateful or embarrassing to any other person, or which is reasonably likely to damage Our reputation or Our products and services.

(m) Record or otherwise share the patient details provided to you through the Platform for booking, chatting or a teleconsultation.

4.3 You are solely responsible for determining that the Platform meets the needs of Your business and is suitable for the purposes for which it is, or is intended to be, used by You.

5. Availability Of The Platform

5.1 While we take all reasonable steps to limit any interruptions to Your access to the Platform, You acknowledge and agree that:

(a) Your access to the Platform may be prevented by issues outside of Our control;

(b) We do not promise continuous or error-free access to the Platform, including as to any third party services facilitated by the Platform such as teleconsultations;

(c) The functionality of the Platform may change or be improved from time to time; and

(d) You are able to prepare for, or manage, unscheduled unavailability of the Platform by:

(i) Keeping Your mobile app up to date, which will store local copies of the data stored within the Platform;

(ii) Printing hard copies of the information stored within the Platform; or

(iii) Contacting Your Patients directly.

6. Third Party Services and Information

6.1 You acknowledge and agree that:

(a) The Platform is dependent on third-party services;

(b) Website and Mobile Application Hosting services;

(c) Payment Gateway (Banks, credit card providers and Payment);

(d) Sms Gateway for OTP, Notifications

(e) Email services; and

(f) Analytics services; and

(g) Mobile Application and website services to enable teleconsultations; and

(h) Location management

(i) The Platform provides links to third party websites which may contain (without limitation) clinical guidance or information.

(j) We are not responsible or liable in any way for any information contained on any linked third party website, including medical or clinical information; and

6.2 We provide and operate the Platform only, and are not responsible for, or liable with respect to, the accuracy or completeness of any information or data which is provided or communicated to You via the Platform by Your Patient, Medical Practice or Practitioner, or any other user of the Platform.

6.3 You agree that We are not responsible or liable in any way for:

(a) interruptions to the availability of the Platform due to third-party services; or

(b) information contained on any linked third party website.

7. Data

7.1 We take the security of the Platform and the privacy of its Users very seriously. You agree that:

(a) You will not do anything to prejudice the security or privacy of Our systems or of the information on Our systems;

(b) You are solely responsible for the security of Your login details for accessing the Platform; and

(c) You will notify Us immediately if You become aware of any unauthorised access to the Platform.

7.2 We will do all things reasonable to ensure that the transmission of data occurs according to accepted industry standard, however You accept that the internet is not a fully secure environment and we cannot accept responsibility for misuse or loss of, or unauthorised access to or disclosure of, information where the security of the information is not within our control. If You provide Us with information via the internet, You do so accepting this risk.

7.3 We may limit the amount of data that You can store in the Platform. Data that is stored within the Platform will be stored according to accepted industry standards.

7.4 We will perform backups of the Platform in a reasonable manner at such times and intervals as are reasonable for Our business purposes. We do not warrant that We are able to backup or recover specific User content from any period of time.

7.5 You acknowledge and agree that:

(a) We are not responsible in any way for retaining any data, Personal Information or Health Information that has been stored on, or communicated through, the Platform for a prescribed period; and

(b) You must ensure that all Health Information or health records of Your Patients are stored on your own systems and retained in accordance with applicable laws.

8. Privacy

8.1 By using the Platform, You acknowledge and agree that:

(a) In order to provide You and Clinic Users with access to and the functionality of the Platform, we may need to collect and use the Personal Information of Clinic Users;

(b) We will collect and handle any Personal Information and Health Information of all Users and Patients in accordance with:

(i) Our Privacy Policy located at http://www.doctormedicho.com/privacy (Privacy Policy), as amended from time to time; and

 (c) Our Privacy Policy does not cover or address how You handle any Personal Information. You must ensure that you have, and will continue to maintain, a privacy policy which:

(i) Complies with applicable privacy laws; and

(ii) Provides an accurate representation to Patients about the data flow of any Personal Information which occurs between You and Us and via the Platform;

(d) You must ensure that any Personal Information or Health Information You create or have access to as a result of Your use of the Platform is collected, handled and retained by You in accordance with applicable privacy laws in relevant jurisdictions;

(e) You must only use or disclose Personal Information or Health Information which is collected by Us and shared with You for the primary purpose for which that Personal Information or Health Information was collected (being to manage a Booking or otherwise communicate with the relevant individual, depending on the circumstances); and

(f) To enable Us to provide you with the full functionality of the Platform and our services, We will collect, synchronise, store and access certain information, including the Personal Information of Your Patients and Users.

8.2 Notwithstanding anything else in these Terms, You must ensure that You have:

(a) Obtained all necessary consents from individuals (including Your Patients) whose Personal Information or Health Information may be provided or uploaded to the Platform (including any third party services facilitated by the Platform) or to Us directly, prior to providing or uploading that Personal Information or Health Information; and

(b) Provided all necessary notifications to such individuals in relation to Our collection of their Personal Information or Health Information, as required by applicable privacy laws.

8.3 Both You and We must:

(a) Provide reasonable assistance to the other party in relation to any privacy-related complaints or regulatory enquiries; and

(b) Notify the other party upon becoming aware of an Eligible Data Breach with respect to the Personal Information which is shared between the parties.

8.4 We may send You emails, text messages, push notifications and other alerts, for purposes such as confirming your Booking, providing clinical or appointment reminders, advertising and providing You with Your password to access the Platform.

8.5 We may also collect browsing information about You from Your use of Our website, which uses cookies (a small tracking code in Your browser) to improve Your experience while browsing. You may manage how You handle cookies in Your browser settings.

8.6 We may access and collect your geo-location during the use of Our Mobile Check In feature. This permission is requested from you when you access the feature and information is only collected during the check-in process. Any geo-location data collected will only be used for the purpose of delivering the service.

8.7 If You suspect any misuse or loss of, or unauthorised access to or disclosure of, Personal Information in connection with the Platform, You must let us know immediately.

9. Suspension or Termination Of Access

9.1 If You fail to comply with these Terms, we may revoke or suspend Your licence and access to the Platform, and cancel or otherwise terminate Your Account.

9.2 If You fail to comply with the terms of any third party services whereby the third party revokes or suspends your access to those services, we may revoke or suspend your access to that feature of the Platform.

9.3 We may, in Our sole discretion, suspend or revoke an individual Practitioner’s licence or ability to access the Platform, including their ability to use the Platform to accept, make or manage Bookings or facilitate other interactions with their Patients.

9.4 If Your Account is cancelled or We otherwise permanently end Your access to the Platform, any data or information We collect about Users or Your Patients may be permanently deleted or de- identified.

9.5 Termination or expiration of Your licence to access or use the Platform will not affect any accrued rights, indemnities, or any provision of these Terms which are intended by their nature to survive termination or expiration.

10. Intellectual Property

10.1 Except as expressly provided in these Terms, no ownership is transferred in, or other rights granted to the other party in, the Intellectual Property of a party. For clarity:

(a) Both You and We and any third party licensors (as the case may be) own and retain all of its Intellectual Property existing prior to the Subscription Period or which is developed independently of the agreement between the parties (Pre-existing IPR), and any developments, updates or modifications to Pre-existing IPR;

(b) We own and retain all rights (including Intellectual Property) in and to the Platform; and

(c) You own and retain all rights (including Intellectual Property) in and to any data that You upload to or transmit via, the Platform.

10.2 Any:

(a) Intellectual Property developed by Us under or in connection with these Terms; or

(b) Changes, additions or improvements to the Platform, immediately and directly vests in Us upon its creation and will form part of Our Intellectual Property, unless otherwise agreed in writing between the parties. You otherwise acknowledge and agree that You have no ownership rights, title or interest in or to Our Intellectual Property and must not dispute Our ownership of the same. You must do all acts and things necessary to give effect to this clause 10.2.

10.3 You grant Us a non-transferable, non-exclusive and royalty free licence to:

(a) Store and otherwise use, copy or modify any data or material provided by You to Us for the purpose of Our providing you with our services and enabling You and the Patient Users to access and use the Platform; and

(b) Use Your logos or other branding information or media (in any form) for the purpose of promoting or marketing the Platform.

11. Liability and Indemnity

11.1 To the extent permitted by law, You acknowledge and agree that:

(a) Your use of the Platform is at Your own risk;

(b) You are solely responsible for Your use of the Platform and for the accuracy and suitability of any information or data that You upload to, or obtain from, the Platform, including any third party services facilitated by the Platform;

(c) We provide the Platform only, and are not responsible or liable for the conduct or activities of any third parties, including third party service providers, Patients and other Users;

11.2 Under no circumstances will We be liable to You for:

(a) Any illness, injury, or death resulting from use of the Platform; or

(b) Any other any direct or indirect, incidental or consequential damages, loss or corruption of data, or any other similar or analogous loss resulting from Your access to, use of, or inability to use the Platform or any content, whether based on warranty, contract, tort, negligence, in equity or any other legal theory, and whether or not We knew or should have known of the possibility of such loss.

11.3 You agree to indemnify Us for any loss, damage or claim (including the loss or corruption of data, goodwill, bargain, opportunity or of anticipated savings) that We may suffer or incur as a result of any breach by You of these Terms.

11.4 The Platform is not designed for, and must not be relied upon in relation to, any critical, emergency or acute care medical circumstances.

11.5 We provide and operate the Platform only, and are not responsible or liable for the conduct or activities of other third parties, including any third party service provider, Medical Practice or Practitioner; and

11.6 Certain rights and remedies may be available under the Competition and Consumer Act or similar legislation of other Nationality, States or Territories and may not be permitted to be excluded, restricted or modified. Apart from those that cannot be excluded, We together with Our related entities exclude all conditions and warranties that may be implied by law, however any liability for breach of any implied warranty or condition that cannot be excluded is restricted, at Our option, to:

(a) the re-supply of services, or payment of the cost of re-supply of services; or

(b) the replacement or repair of goods, or payment of the cost of replacement or repair.

12. Book Online Appointment

12.1 The website allows Organization and Practitioners to get the Online Booking and Appointments from users.

(a) The Website Booking facility allows Organization and Practitioners to get booking and appointment from users for Doctor Consultation, Medical & Health Checkups, Offers Booking, Medicine Booking.

 (b) Online Chat enquiry facility allows Organization and Practitioners to directly connect with user for any enquiries.

12.2  Organization and Practitioners need to confirm users booking and appointments from Organization Panel. Then only user will get booking confirmation notification. However, We have no liability if such an appointment is later cancelled by the User, or the same User is not available for the day of appointment.

12.3  You acknowledge and agree that Doctor Medicho will not be liable for:

(a) We are not responsible for Your any interactions and associated issues with the Users.

(b) Any wrong medication or quality of treatment being given by the Organization or Practitioner.

(c) Inappropriate treatment, or similar difficulties or any type of inconvenience suffered by the User due to a failure on the part of the Organization or Practitioner to provide agreed Services.

(d) Any misconduct or inappropriate behaviour from the User.

13. Online Consultation

13.1 The website allows Organization and Practitioners to use the facilities of online consultation with Users.

(a) Online Consultation facility that allows Organization and Practitioners to Online consult with users by Chat, Audio and Video through the Website.

(b) Organization and Practitioners needs to approve users appointment and need to mention the  consultation time.

(c) For online consultation users online payment will be credited to Doctor Medicho bank account. The payment will transfer to Organization and Practitioners as per the agreement making between Doctor Medicho and Organization, Practitioners.

13.2  You acknowledge and agree that Doctor Medicho will not be liable for:

(a) We are not responsible for Your any interactions and associated issues with the Users.

(b) Any wrong medication or quality of treatment being given by the Organization or Practitioner.

(c) Inappropriate treatment, or similar difficulties or any type of inconvenience suffered by the User due to a failure on the part of the Organization or Practitioner to provide agreed Services.

(d) Any misconduct or inappropriate behaviour from the User.

14. Online Payment Facility

14.1 By using the Platform, You acknowledge and agree that;

14.2 Online Payment Facility Not available for;

(a) The Platform not integrating any online payment facility for any online appointment, booking health checkups and other services.

(b) Organization and Practitioners needs to collect payment directly from the user before your final meeting with the Users.

(c) Organization and Practitioners need to give services to Users as per User online booking time.

(d) We are not responsible for Your any payment problems with any Users.

14.3 Online Payment Facility Available for;

(a) The Platform integrating online payment facility only for online consultation with Users by Call, Chat and Video.

(b) With this platform, Organization and Practitioners can arrange Online consultation with users

(b) For online consultation users online payment will be credited to Doctor Medicho bank account. The payment will transfer to Organization and Practitioners as per the written agreement making between Doctor Medicho and Organization or Practitioners.

15 Cancellation and Refund Policy

15.1 Doctor Medicho will make written agreement between Organization or Practitioners. Cancellation and Refund Policy related all points will clearly write In that agreement.

16. Interpretation

16.1 The following terms are used regularly throughout these Terms and have a particular meaning:

(a) Account means a registered account for a Clinic, Hospital or Doctor which enables access to, and use of certain functionalities of, the Platform.

(b) Booking means an appointment with a Practitioner that is made using the Platform.

(c) Business Day means a day (other than a Saturday, Sunday or public holiday) on which banks are open for general banking business in the city of Melbourne, Victoria, Australia.

(d) Organization or Clinic Or Hospital means a medical practice, healthcare practice, Practitioner or other organised or incorporated body that provides healthcare services and has entered into a Software User Agreement or other signed written agreement with Us for access to and use of the Platform.

(e) Clinic User means any individual authorised to use the Platform by a Clinic / Hospital / Medical Centre.

(f) Health Information has the meaning given to that term by the Privacy Act.

(g) Intellectual Property means all intellectual property rights throughout the world, whether registered or unregistered, including rights in respect of copyright, designs, circuit layouts, trademarks, know-how, confidential information, patents, inventions and discoveries and right to apply for registration of such rights.

(h) Patient means a person about whom information is stored within the Platform or is otherwise shared You with Us, and who is or has been a patient or consumer of Your health services.

(i) Patient User means any individual who is a patient of, or makes a Booking request for, You or Your Practitioners and who either:

(i) accesses the Platform in any way; or

(ii) receives a communication from, or otherwise interacts with, You via the Platform.

(j) Personal Information has the meaning given to that term by the Privacy Act.

(k) Practitioner means a medical practitioner, health professional or other individual with whom appointments may be made and managed via the Platform.

(l) Recall means a clinical reminder sent to a Patient via the Platform.

(m) Reminder means an upcoming appointment reminder sent to a Patient via the Platform.

(n) Repeats means the Platform functionality which enables Patients to request a repeat prescription or referral from their Practitioner.

(o) Subscription Period means the period during which:

(i) a Agreement is effective between You and Us; and

(ii) You have paid any fees or other payments which are owed by You to Us in accordance with the Website User Agreement.

(p) Terms means these Terms of Service.

(q) User means any Patient User or Clinic User.

16.2 The following rules apply to any interpretation of these Terms unless the context requires otherwise:

(a) headings are for convenience only and do not affect interpretation;

(b) the singular includes the plural and the opposite also applies;

(c) if a word or phrase is defined, any other grammatical form of that word or phrase has a corresponding meaning;

(d) a reference to a clause or item refers to clauses and items in these Terms;

(e) a reference to legislation is to that legislation as amended, re-enacted or replaced, and includes any subordinate legislation issued under it;

(f) mentioning anything after includes, including, or similar expressions, does not limit anything else that might be included;

(g) a reference to a party to these Terms or another agreement or document includes that party’s successors and permitted substitutes and assigns (and, where applicable, the party’s legal personal representatives); and

(h) a reference to a person, corporation, trust, partnership, unincorporated body or other entity includes any of them.
